I'm not sure if it is a download per say or not. I'm sure there will be some things you have to download, but for the most part I think it's just a copy/paste of "the matrix online," game folder wherever you installed it, then update it when it connects to the server (when it comes online).
Don't forget there is a massive Download... Patch... to be done with the CU 2.0
